Project Description

This was a long-established foreign & domestic repair facility. 10 service bays performing all services from oil change to engine rebuilds. Clean & crisp branding, modern equipment and up to date technology with maintenance contracts for government fleets.

Project Challenge

  • CRE owned by the business operating entity.
  • Client preferred to keep the CRE.
  • Many personal expenses were embedded in the historical financials lowering the “reported” value.

Project Result

  • We assisted our client establishing an affiliate LLC and transferred title of the property prior to close.
  • We prepared a CRE broker’s opinion of value that determined an accurate “fair market rent”. We adjusted historical rent expense accordingly increasing the value of the CRE. Buyer agreed with the higher rent rate with CPI triggers and a first right to purchase was negotiated and built into the PA.
  • Spent many hours analyzing credit card statements and internal financials to build an analysis of embedded personal expenses over the 4-year period under analysis. We were able to document these to the extent buyer and SBA lender agreed to a $1M increase in value!
